JOB SUMMARY

  • The Assistant General Counsel will support customer’s business and legal strategy by negotiating, drafting, analyzing and interpreting a wide variety of commercial contracts, with an emphasis on hospital service agreements, purchasing agreements, business associate agreements, research agreements, enterprise technology transaction documents, such as SaaS subscription agreements and software licenses, NDAs and consulting agreements. Manages and improves customer’s contract lifecycle process. Develops, enhances and reviews policies and procedures related to contractual obligations and general healthcare and data privacy laws. Serves in a generalist role supporting various corporate legal projects..

JOB REQUIREMENTS

  • Minimum Education
    • J.D. from a recognized, accredited US law school with strong academic credentials and membership in at least one U.S. state bar.
  • Minimum Work Experience
    • Attorney with 5-7 years of relevant experience with commercial transactions in a law firm or in-house legal department
    • Experience with a hospital, medical device, pharmaceutical or diagnostics company preferred.
  • Required Licenses/Certification
    • Communicates with business stakeholders, such as department managers and functional leaders, to keep up to date with business developments and establish consistent lines of communication.

      Acts with integrity, upholding strong business and personal ethical standards.

      Provides other general legal advice and assistance and represents the company in other legal matters as appropriate and as directed.

      Highly developed written and oral communication skills, with special emphasis on drafting and negotiating skills and the ability to advocate for a position while maintaining an open-minded approach.

      Knowledge of healthcare and HIPAAGDPR (data privacy and protection) law.

      Strong organizational and planning skills and the capacity to simultaneously handle a variety of complex, sensitive and confidential matters.
       

      The ability to understand and apply a breadth of business concepts both within the context of the legal department as well as in working and communicating with internal and external business partners

      Skill in spotting legal and business risks, evaluating their potential impact on the organization, and escalating and/or managing the risks appropriately.

      An effective and successful member of a team, including motivating and supporting team members and elevating the overall level of the team’s work product and performance.

    Essential Duties and Responsibilities

    Negotiates and drafts a variety of corporate and commercial contracts including hospital service and GPO agreements, business associate agreements, vendor and supplier agreements, NDAs, IT agreements, research agreements, consulting, employment and independent contractor agreements.

    Assists with contract management, reporting, expirations, approvals, renewals, non-renewals, extensions and amendments.

    Provides advice and counsel to support department leads, customers, vendor representatives, contracting personnel and senior management in policy and procedure development, compliance, and data protection.

    Conducts research, prepares legal memoranda and provides legal advice on a diverse array of legal matters.

    Builds credibility and trust with internal and external clients, vendors, stakeholders and other colleagues.
